Walmart (NYSE:WMT) disclosed that it has pulled and will refile its HSR notification for its planned $2.3 billion acquisition of TV maker Vizio (NYSE:VZIO). Vizio ticked down 0.6% in after hours trading.
Walmart’s HSR notification was withdrawn effective on Wednesday, according to an 8-K filing. The retailer expects to refile on Friday. Upon renewing its filing date, the waiting period under the HSR Act will expire on April 29.
The pull and refile comes as Sen. Elizabeth Warren (D-MA) late last month requested that regulators scrutinize the Vizio (VZIO) deal. Additionally, some privacy and antitrust groups are asking antitrust regulators to look closely at the transaction. The groups are mainly concerned about Walmart’s (WMT) purchase of Vizio’s advertising network and the associated privacy and data worries connected to the acquisition.
Walmart (WMT) confirmed last month that it was acquiring Vizio (VZIO) for $11.50 per share in cash, which works out to a fully diluted equity value of approximately $2.3 billion.
